Terms and Conditions

Please note that your use of, and access to the Services (as defined below) are subject to the following terms. If you do not agree to all of these terms, you may not use or access the Services in any manner.

Acceptance of Terms

The following Terms and Conditions (the “Terms”) constitute a legally binding contract between you and Axiom & Vale Global Ltd (“A&VG”, “we”, “us”, or “our”), a private limited liability company duly incorporated under the laws of the Federal Republic of Nigeria.

These Terms govern your use of and access to our website at https://axiomvaleglobal.com (the “Website”) and the educational consultancy, student admission placement, and Canadian permanent residence application assistance services offered through the Website (collectively, the “Services”), including any content or functionality provided through the Website, whether as a guest, registered User, or on the authorization of a User.

By using any of the Services, you expressly accept all terms and conditions contained herein in full and without limitation or qualification, including our Privacy Policy. Please refrain from using the Services if you have any objection to any of the terms and conditions contained herein.

“You”, “your”, “User” means the person, entity, or student who uses or accesses the Services.

“A&VG Account” or “Account” means the registered account you have with us for the Services on the Website.

“Business Day” means weekdays excluding Saturdays, Sundays, and all other days officially declared work-free days or public holidays in Nigeria.

“Services”means the educational consultancy, student advisory, application preparation, and admission placement services offered by A&VG, including but not limited to school selection guidance, application document preparation, submission of applications on behalf of students, interview preparation, and related advisory services.

“Institution”means any university, college, polytechnic, school, or other educational body to which A&VG may assist you in applying.

“Application”means the process of preparing and submitting your admission application to one or more Institutions with the assistance of A&VG.

By registering and signing up to use this Website, you agree that you have read, understood, and accepted all of the Terms contained in this Agreement. You also accept and agree that you are solely responsible for understanding and complying with all laws, rules, and regulations applicable to your use of the Services and to the admission requirements of your target Institutions.

1. Governing Language

The governing language of these Terms and all communication between A&VG and you shall be the English language.

2. Consent to Electronic Communication

To the extent permitted by applicable law, you consent to electronically receive all records, notices, statements, communications, and other items relating to the Services that we may otherwise be required to send to you in paper form.

By accepting these Terms electronically, you confirm that: (1) you have read and understand this consent; and (2) your consent will remain in effect until you withdraw it by contacting us at support@axiomvaleglobal.com.

You must keep your contact information current with us. In order to ensure effective communication, you must promptly notify us of any change in your email address or mobile number by updating your profile on the Website.

3. Age Restriction and Eligibility

In order to use the Services, you must:

Accept and agree to these Terms and our Privacy Policy;
Register with us on the Website, or be authorized by a registered User (such as a parent or guardian) to use the Services;
Be at least 18 years old with full legal capacity, or if under 18, have a parent or guardian who has consented to these Terms on your behalf and who will act as the responsible party;
Provide all information and documentation requested by us to facilitate your application.

If you are a parent or guardian registering on behalf of a minor, you accept these Terms on behalf of the minor and take full responsibility for their compliance. If you become aware that your child has registered without your consent, please contact us immediately at support@axiomvaleglobal.com.

You may use the Services only if you agree to form a binding contract with A&VG and are not a person barred from receiving services under applicable law. Currently, the Website is accessible to users worldwide, and we assist with applications to Institutions worldwide.

4. Description of Services

A&VG provides educational consultancy and student admission placement services. Our Services may include, but are not limited to:

Educational advisory and counselling on suitable Institutions and programs based on your academic background, interests, and goals;
Guidance on admission requirements, entry criteria, deadlines, and application procedures for various Institutions;
Assistance with preparation of application documents including personal statements, statement of purpose, essays, recommendation letter guidance, and CVs/resumes;
Review, editing, and proofreading of application materials;
Processing and submission of applications to Institutions on your behalf, where instructed;
Guidance on standardized tests, language proficiency requirements, and other prerequisites;
Interview preparation and coaching;
Post-admission support including guidance on acceptance, scholarship bargaining, deferral, and visa application processes;
Guidance on and assistance with documentation for obtaining permanent residency in Canada.

a. Nature of Services and No Guarantee of Admission

A&VG is an independent consultancy and is not affiliated with, endorsed by, or acting as an agent of any Institution unless expressly stated. Our role is to provide guidance, preparation support, and application assistance.

A&VG does not and cannot guarantee admission to any Institution or visa approval from any embassy. Admission and visa decisions are made solely and exclusively by the relevant Institution and Embassies and are subject to that Institution’s own criteria, policies, and discretion. You acknowledge and agree that A&VG shall bear no liability whatsoever for any admission decision made by any Institution.

A&VG does not represent or warrant that: (a) the information provided about any Institution is complete, current, or accurate at all times, as institutional requirements may change; (b) your application will be successful; or (c) any Institution will consider your application in the manner we advise.

b. Your Responsibilities

You accept full responsibility for the following:

Ensuring that all information and documents you provide to A&VG are true, accurate, complete, and not misleading;
Ensuring that all academic credentials, certificates, transcripts, and other documentation you submit are authentic and genuine. Submission of forged or falsified documents is strictly prohibited and may result in immediate termination of Services and reporting to relevant authorities;
Reviewing all application materials prepared by A&VG before submission and approving them as accurate and reflective of your own work, experiences, and intentions;
Complying with the application policies and academic integrity rules of all target Institutions;
Meeting all application deadlines. A&VG will endeavour to provide timely guidance, but you bear ultimate responsibility for ensuring submissions are made on time;
Payment of any application fees, enrolment fees, or other charges payable directly to Institutions. Such fees are separate from and in addition to A&VG’s service fees.

5. Fees and Payment

A&VG charges fees for the provision of Services as communicated to you at the time of engagement or as set out in a separate Service Agreement or engagement letter (“Service Agreement”). All fees are subject to change at A&VG’s discretion, and we will notify you of any changes in advance.

You agree to pay all applicable fees as and when due. Failure to pay fees may result in the suspension or termination of Services.

Unless otherwise stated in a Service Agreement:

Fees paid to A&VG are non-refundable once work has commenced on your application;
A&VG is not responsible for any fees paid directly to Institutions, testing bodies, or other third parties;
All fees are quoted in United States Dollars and payable in the currency of the applicant’s country at the time of application unless otherwise agreed in writing.

In the event of any dispute regarding fees, you agree to notify us in writing within 14 days of the relevant invoice date.

Website Refund and Service Activation Policy

Refund and Service Activation Policy

A&VG operates a phase-based service activation model. Payments activate professional advisory, application-support, document-readiness and pathway-planning work. Once work has commenced in a service phase, fees paid for that phase are generally non-refundable.

Selected Packages

For selected packages, 70% of the service fee activates the Application & Admissions Phase. The remaining 30% becomes due once the first admission offer or conditional offer is received, or before A&VG begins post-offer support.

Post-Offer Success Phase

The final 30% activates the Post-Offer Success Phase, which may include offer review, visa-readiness guidance, accommodation direction, travel preparation and pre-departure planning.

No Guaranteed Outcomes

A&VG does not guarantee admission, scholarships, visas, accommodation, employment, residency or immigration outcomes. Final decisions remain with external institutions and authorities.

a. Payment, Service Activation and Refund Policy

A&VG operates a phase-based service activation model. The Client acknowledges that payments made to A&VG are for professional advisory, planning, research, document-readiness, application-support, coordination and post-offer guidance services, and not for any guaranteed admission, scholarship, visa, accommodation, employment, residency or immigration outcome.

b. Application & Admissions Phase

Unless otherwise agreed in writing, the Client shall pay 70% of the agreed service fee before the commencement of the Application & Admissions Phase. This payment activates onboarding, profile review, eligibility assessment, destination and programme guidance, document review, application planning and admissions-support work.

c. Refund Position for the 70% Payment

The 70% Application & Admissions Activation Payment becomes non-refundable once A&VG has commenced onboarding, profile assessment, document review, school or programme research, application planning, application preparation, application submission or related advisory work.

d. Post-Offer Success Phase

The outstanding 30% balance becomes due upon issuance of the Client’s first admission offer, conditional offer or positive application outcome, or before A&VG commences any post-offer, visa-readiness, accommodation, travel, enrolment or pre-departure support, whichever occurs first.

e. Activation of Post-Offer Services

Payment of the outstanding 30% balance activates the Post-Offer Success Phase, which may include offer review, admission condition review, school portal guidance, visa-readiness checklist, financial document guidance, accommodation direction, travel preparation, pre-departure planning and related next-step advisory.

f. Right to Pause Services

A&VG reserves the right to pause post-offer support, visa-readiness guidance, accommodation direction, school portal guidance, travel preparation and pre-departure advisory until the outstanding balance is fully paid.

g. Offer Received

Where an admission offer, conditional offer or positive application outcome is issued by an Institution, the Application & Admissions Phase shall be deemed completed, and no refund shall apply to payments made for that phase.

h. No Guarantee of Outcome

A&VG does not guarantee admission, scholarships, visa approval, accommodation placement, employment, residency, immigration approval or any third-party outcome. Final decisions remain with Institutions, scholarship bodies, immigration authorities, housing providers, employers and other external parties.

i. Regulated Advice

If regulated immigration or legal advice is required, the Client may be referred to an authorized immigration professional, lawyer or other properly licensed advisor.

6. Intellectual Property

All text, graphics, tools, software, content, trademarks, logos, and other materials on the Website are the intellectual property of A&VG and its affiliates or their licensors. Nothing on the Website should be construed as granting any license or right to use any intellectual property without the prior written consent of A&VG.

With respect to documents prepared by A&VG as part of the Services (such as personal statements and essays), such documents are prepared for your personal use in connection with your academic applications only. You may not reproduce, distribute, or commercialize such documents for any other purpose.

You retain ownership of all academic credentials, personal information, and source materials you provide to us.

7. User Account

To access the Services, you may be required to create an Account on the Website by providing information including your name, email address, phone number, academic history, and other information as requested (collectively, “User Information”).

You represent and warrant that all User Information you provide is true, accurate, current, and complete, and you agree not to misrepresent your identity or qualifications. You are solely responsible for maintaining the confidentiality of your Account credentials and for all activities that occur under your Account.

You must notify us immediately at support@axiomvaleglobal.com of any unauthorized use of your Account or any other breach of security.

8. Information Security and Warranty Disclaimer

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. A&VG EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. A&VG DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY PARTICULAR OUTCOME (INCLUDING ADMISSION) WILL BE ACHIEVED.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, A&VG SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR EXEMPLARY DAMAGES ARISING OUT OF OR IN CONNECTION WITH THE SERVICES, INCLUDING BUT NOT LIMITED TO: (A) ANY FAILURE TO SECURE ADMISSION TO ANY INSTITUTION; (B) DECISIONS MADE BY ANY INSTITUTION REGARDING YOUR APPLICATION; (C) ANY ERRORS IN APPLICATION MATERIALS THAT YOU APPROVED PRIOR TO SUBMISSION; (D) MISSED APPLICATION DEADLINES DUE TO INFORMATION OR DOCUMENTS NOT PROVIDED TO US IN A TIMELY MANNER; OR (E) ANY CHANGES IN INSTITUTIONAL REQUIREMENTS OR POLICIES AFTER YOUR APPLICATION IS SUBMITTED.

Nothing in these Terms shall exclude or limit liability for fraud, fraudulent misrepresentation, or any other liability that cannot be excluded or limited by applicable Nigerian law.

10. Confidentiality

A&VG acknowledges that in the course of providing the Services, we will have access to personal and sensitive information about you, including academic records, personal statements, and financial information. We will treat all such information as confidential and will not disclose it to third parties except:

To Institutions, as necessary for the purpose of submitting your applications;
To our employees, contractors, and service providers who need access to provide the Services, subject to confidentiality obligations;
Where required by law, court order, or regulatory authority;
With your express prior written consent.

11. Data Protection and Privacy

A&VG is committed to protecting your personal data in accordance with the Nigeria Data Protection Act 2023 and other applicable data protection laws.

The information we collect from you may be used for the following purposes:

To provide the Services and carry out our obligations under any engagement with you;
To communicate with you about your applications, progress, and any updates relevant to your engagement with us;
To improve and administer our Services, Website, and operations;
To comply with legal and regulatory obligations;
To provide you with information about additional services we offer, where you have consented to receive such communications.

Your information will be retained for as long as necessary to fulfil the purposes for which it was collected, or as required by applicable law. For full details of how we collect, use, store, and protect your personal data, please refer to our Privacy Policy on the Website.

12. Disclosure of Personal Information

You agree that we may share your personal information and related documentation with:

Institutions to which you are applying, for the purpose of processing your application;
Our affiliated companies, employees, contractors, and service providers involved in delivering the Services;
Relevant regulatory, governmental, or law enforcement authorities where required by law;
Third parties in connection with any business reorganization, merger, or acquisition, subject to appropriate confidentiality arrangements.

We will not sell your personal information to third parties for marketing purposes without your prior consent.

13. Prohibited Conduct

You shall not use your Account or the Services to engage in any of the following prohibited activities:

Providing false, misleading, forged, or fraudulent information, documents, or credentials to A&VG or to any Institution;
Using the Services in a manner that violates any applicable law, regulation, or institutional policy, including academic integrity policies;
Submitting another person’s work as your own in any application material (plagiarism);
Attempting to gain unauthorized access to any part of the Website or A&VG’s systems;
Using the Services for any unlawful purpose, including any activity that constitutes fraud or a breach of applicable Nigerian law;
Harassing, abusing, threatening, or otherwise interfering with A&VG staff, representatives, or other users.

A breach of this clause may result in immediate termination of Services, forfeiture of fees paid, and where appropriate, reporting to relevant authorities.

14. Third-Party Links and Services

The Website may contain links to third-party websites, including Institution websites, testing bodies, and scholarship platforms. A&VG does not control and is not responsible for the content, privacy practices, or availability of any third-party website. Any engagement with third-party services is at your own risk and subject to those parties’ own terms and conditions.

15. Breach of These Terms

In the event of a breach of these Terms, or a reasonable suspicion thereof, A&VG may:

Suspend or terminate your access to the Services and your Account;
Forfeit any fees paid without refund, where the breach involves fraud or misrepresentation;
Report the matter to relevant regulatory, law enforcement, or educational authorities;
Commence legal proceedings against you.

16. Termination

You may terminate your engagement with A&VG at any time by contacting us at support@axiomvaleglobal.com. Termination will not relieve you of any payment obligations already incurred.

A&VG may terminate or suspend the provision of Services at any time where: (i) you have breached these Terms; (ii) we are unable to verify information you have provided; (iii) continued provision of Services would expose A&VG to legal or regulatory risk; or (iv) for any other reason at our reasonable discretion, with reasonable notice where practicable.

Provisions of these Terms that by their nature should survive termination, including confidentiality, limitation of liability, intellectual property, and dispute resolution, shall continue in full force.

17. Amendments

A&VG reserves the right to amend these Terms at any time by posting an updated version on the Website or by notifying you electronically. Your continued use of the Services after such notification constitutes acceptance of the revised Terms. If you do not agree to any revised Terms, your sole recourse is to discontinue use of the Services.

18. Miscellaneous

a. Assignment

You may not transfer, assign, or delegate your rights or obligations under these Terms without A&VG’s prior written consent. A&VG may assign its rights and obligations at any time to the extent permitted by applicable law.

b. Indemnity

You agree to indemnify, defend, and hold harmless A&VG, its affiliates, employees, officers, directors, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from: (i) your use of the Services; (ii) your breach of these Terms; (iii) any false, inaccurate, or fraudulent information provided by you; or (iv) your violation of any applicable law or third-party right.

c. Non-Waiver

The failure of A&VG to exercise any right or remedy under these Terms shall not constitute a waiver of that right or remedy.

d. Severability

If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be severed from these Terms without affecting the validity and enforceability of the remaining provisions.

e. Force Majeure

A&VG shall not be liable for any delay or failure in the performance of its obligations caused by events beyond its reasonable control, including acts of God, epidemic, pandemic, civil unrest, war, governmental action, failure of internet or communications infrastructure, or any other force majeure event.

f. Entire Agreement

These Terms, together with our Privacy Policy and any applicable Service Agreement, constitute the entire agreement between you and A&VG with respect to the Services and supersede all prior understandings, arrangements, or agreements, whether written or oral.

g. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria.

h. Dispute Resolution

For any dispute, controversy, or claim arising out of or in connection with the Services or these Terms, except as otherwise stated in another agreement or document from A&VG which you must have executed, the parties agree to first attempt resolution through good-faith mutual discussions within fourteen (14) days of one party notifying the other of the dispute.

If the dispute is not resolved within that period, it may be escalated to the applicable regulatory authority. If still unresolved, the dispute shall be referred to binding and confidential arbitration in accordance with the Arbitration and Conciliation Act of Nigeria. The sole arbitrator shall be mutually agreed upon by the parties within fourteen (14) Business Days, failing which the arbitrator shall be appointed by the President of the Chartered Institute of Arbitrators (CIArb) Nigeria Branch.

The venue of arbitration shall be Lagos State, Nigeria. The language of proceedings shall be English. The arbitrator’s decision shall be final and binding.
